Terms of Service — Rive

1. Purpose of the Service

Rive is a software-as-a-service (SaaS) platform designed to assist restaurant owners, managers, and food-service professionals in their daily operations through AI-powered tools and data-driven insights. The service is accessible at rivehub.com and is intended for use by international gastronomic and fine-dining establishments.

Rive provides, among others, the following features:

  • Digital logbook — AI-powered service note logging, automatic classification, urgency detection, and corrective action suggestions
  • Temperature monitoring — Recording, trend analysis, and AI-generated corrective action recommendations
  • Multilingual translation — AI-assisted translation of service notes across 19 supported languages
  • Food cost analysis — Automated margin calculation per dish, ingredient price tracking, and profitability alerts
  • Menu engineering — BCG-matrix classification of menu items (Star, Anchor, Drift, Rock) with AI-generated strategic recommendations
  • Receipt and invoice digitization — Optical character recognition (OCR) powered by AI vision models to extract supplier, line-item, and pricing data from photographs of invoices and receipts
  • AI social media content generation — Draft posts with captions, hashtags, and formatting for Instagram, Facebook, and TikTok, generated from dish descriptions and photographs
  • Smart prep lists — AI-generated preparation lists based on reservation data, historical sales, menu engineering classification, and recipe ingredients
  • Reservation integration — Real-time synchronization with third-party reservation platforms (currently Libro, Resy, and Zenchef, with additional platforms planned)
  • Variance and inventory tracking — Cross-referencing of POS theoretical sales against actual physical inventory, spoilage and loss declaration, and deposit tracking (kegs, crates, bottles)
  • Brewery production tracking — Batch management from fermentation through kegging and canning or bottling stages
  • Daily intelligence scoring — A composite score reflecting the depth and quality of data connected to the system, with personalized recommendations for improvement

The specific features available to each user depend on their subscription tier. Rive reserves the right to add, modify, or discontinue features at any time.

2. Access and Registration

2.1. To access the Rive service, the user must create an account using a valid email address. Account creation is completed through Rive's authentication system, powered by Supabase Auth. By registering, the user represents that the email address provided is accurate and belongs to them.

2.2. The user is solely responsible for maintaining the confidentiality of their login credentials, including their email address and password. The user agrees to notify Rive immediately at dock@rivehub.com of any unauthorized use of their account or any other breach of security. Rive shall not be liable for any loss or damage arising from the user's failure to safeguard their credentials.

2.3. Rive offers a free version that does not require a credit card and has no time-limited trial period. The free tier is subject to usage quotas that limit the number of AI-powered operations (such as logbook analyses, receipt scans, social media content generations, and prep list generations) available per billing period. Usage beyond these quotas requires a paid subscription. Quota limits for each tier are displayed in the user's account settings and on the pricing page.

2.4. The user must be at least 18 years of age or the age of majority in their jurisdiction, whichever is greater, to create an account and use the service. By registering, the user represents and warrants that they meet this requirement.

2.5. Acceptable Use Policy

The user agrees not to use the Rive service for any purpose that is unlawful or prohibited by these Terms. Without limitation, the user shall not:

  • Use the service for any unlawful, fraudulent, or deceptive purpose
  • Generate, publish, or distribute misleading food safety content, false health claims, or fraudulent regulatory compliance documentation using any Rive feature
  • Share account credentials with third parties or allow multiple individuals to access the service through a single account (team access must be managed through Rive's built-in team invitation system)
  • Reverse engineer, decompile, or disassemble any portion of the Rive service, its underlying algorithms, or AI integrations
  • Scrape, crawl, or harvest data from the Rive service by automated means, or use any robot, spider, or similar device to access the service
  • Resell, sublicense, or redistribute access to the Rive service or any output generated by the service to third parties as a standalone product or competing service
  • Upload, transmit, or distribute any content that is defamatory, obscene, threatening, abusive, or otherwise objectionable, or that infringes the intellectual property rights of any third party

3. Specific Clause — Artificial Intelligence and Liability

3.1. Nature of AI-Generated Suggestions

The Rive service integrates artificial intelligence technologies based on large language models (LLMs) provided by Anthropic (Claude). These technologies are used to:

  • Analyze, classify, and summarize service notes in the digital logbook
  • Suggest corrective actions when operational abnormalities or temperature deviations are detected
  • Translate service content between supported languages
  • Extract structured data from receipt and invoice images using vision models
  • Generate draft social media content (captions, hashtags, and formatting) for Instagram, Facebook, and TikTok
  • Analyze food cost data and generate profitability alerts
  • Produce menu engineering classifications and strategic recommendations
  • Generate smart preparation lists based on reservation forecasts and historical data
  • Calculate and present daily intelligence scores with actionable improvement suggestions

3.2. Important Limitations

Suggestions, analyses, recommendations, and content generated by the AI integrated into Rive are provided for informational and indicative purposes only. The user acknowledges and expressly accepts that:

  • AI-generated outputs do not constitute professional, medical, legal, or food safety advice. They are computational predictions and should not be treated as expert opinions in any professional discipline, including but not limited to food science, nutrition, public health, regulatory compliance, accounting, or legal matters.
  • AI-generated outputs are not a substitute for the judgment of qualified professionals. Users must consult accredited health inspectors, food safety consultants, licensed accountants, legal advisors, or other competent experts as appropriate for their specific circumstances.
  • AI may produce inaccurate, incomplete, misleading, or inappropriate results. Due to the inherent probabilistic nature of the language models used, outputs may contain factual errors, omissions, or contextually inappropriate suggestions. Results may vary from one execution to another for the same input.
  • Final responsibility for any operational decision — including but not limited to corrective actions, food safety measures, health compliance decisions, menu changes, staffing decisions, purchasing decisions, internal communications, and external publications — rests exclusively with the user and the qualified personnel of the establishment.
  • Rive does not guarantee regulatory compliance of the user's establishment in any jurisdiction. The service is designed to facilitate and assist compliance management, but it does not replace mandatory regulatory processes, inspections, certifications, or professional assessments required by applicable law.

3.3. User Obligations

The user acknowledges that they have a duty of care when using AI-generated outputs and agrees to:

  • Verify and validate any AI-generated suggestion, analysis, or content before applying it in operations, publishing it externally, or relying upon it for any decision
  • Not rely exclusively on AI-generated suggestions for decisions impacting food safety, public health, financial reporting, or regulatory compliance
  • Maintain all required regulatory skills, certifications, and training for personnel, independent of and in addition to using the Rive service
  • Report any clearly inappropriate, potentially dangerous, or manifestly incorrect AI-generated output to the Rive team at dock@rivehub.com so that improvements can be made

3.4. Non-Determinism Disclaimer

The AI models integrated into Rive are non-deterministic by nature. This means that submitting the same input at different times may produce different outputs. Rive does not guarantee the consistency, reproducibility, or stability of AI-generated results across sessions, model versions, or time periods. Users should not assume that a previously generated output will be replicated in subsequent requests.

3.5. Continuous Improvement

Rive continuously works to improve the accuracy, relevance, and reliability of its AI-powered features. Updates to AI models, prompting strategies, and processing pipelines may be deployed without prior notice. These improvements may alter the behavior, formatting, or content of AI-generated outputs. Rive makes no guarantee that improvements will not temporarily affect the quality or consistency of results.

3.6. AI-Generated Social Media Content

AI-generated social media content (including posts for Instagram, Facebook, and TikTok) is provided as a draft only. The user acknowledges and agrees that:

  • All AI-generated social media content must be reviewed, edited, and approved by the user before publication
  • The user is solely responsible for ensuring that published content complies with all applicable social media platform terms of service and community guidelines
  • The user must independently verify that published content does not infringe any third-party intellectual property rights, including trademarks, copyrights, and rights of publicity
  • The user is solely responsible for ensuring that any published claims regarding allergens, dietary restrictions, nutritional information, or health benefits comply with applicable food labelling and advertising regulations in their jurisdiction
  • Rive shall not be liable for any consequences arising from the publication of AI-generated social media content, whether modified or unmodified by the user

3.7. AI Provider Changes

Rive reserves the right to change, replace, or supplement the underlying AI models, providers, or technologies used in the service at any time and without prior notice. Such changes may include switching between different model versions, providers, or architectures. Rive does not guarantee that output quality, style, or consistency will remain unchanged following such modifications.

4. Data Protection and Privacy

4.1. Applicable Laws

Rive collects and processes personal data in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25). For users located in the European Economic Area (EEA), the United Kingdom, or Switzerland, Rive also complies with the General Data Protection Regulation (GDPR) and applicable local data protection legislation. For users in other jurisdictions, Rive complies with applicable local data protection laws.

4.2. Data Storage

Data entered by the user — including service notes, temperature records, recipes, invoices, menu items, reservation data, and other operational information — is securely stored on cloud infrastructure provided by Supabase (PostgreSQL database with row-level security). Supabase's infrastructure is hosted in SOC 2 Type II compliant data centers.

4.3. AI Data Processing

Certain user data is transmitted to Anthropic via their API for AI processing (analysis, extraction, generation, and translation). Rive confirms that, as of the date of these Terms, Anthropic does not use customer data submitted through its API to train its models. Rive commits to minimizing the personal data transmitted to AI providers and to transmitting only the data strictly necessary for the requested operation. For further details, users are encouraged to review Anthropic's privacy policy at https://www.anthropic.com/privacy.

4.4. Data Ownership

The user retains full ownership of all data they enter into the Rive service, including but not limited to service notes, recipes, menu content, images, financial data, and team information. Rive does not claim any ownership rights over user-submitted data.

4.5. User Data Rights

Depending on applicable law, users may exercise the following rights with respect to their personal data:

  • Right of access — Obtain confirmation of whether personal data is being processed and request a copy of such data
  • Right to rectification — Request correction of inaccurate or incomplete personal data
  • Right to erasure — Request deletion of personal data, subject to legal retention obligations
  • Right to data portability — Receive personal data in a structured, commonly used, machine-readable format and transmit it to another controller
  • Right to restriction of processing — Request that processing be limited in certain circumstances
  • Right to object — Object to processing of personal data based on legitimate interests or for direct marketing purposes
  • Right to withdraw consent — Where processing is based on consent, withdraw that consent at any time without affecting the lawfulness of prior processing

To exercise any of these rights, please contact Rive at dock@rivehub.com. Rive will respond to all valid requests within 30 calendar days. For EEA/UK/Swiss users, the legal bases for processing personal data under the GDPR include: (a) performance of the contract (provision of the service), (b) legitimate interests (service improvement, security, and fraud prevention), and (c) consent (where specifically obtained). EEA/UK/Swiss users also have the right to lodge a complaint with their local data protection authority.

4.6. Sub-processors

Rive uses the following sub-processors in the delivery of its service:

  • Supabase — Database hosting, authentication, and file storage
  • Anthropic — AI model inference (text analysis, content generation, OCR extraction, translation)
  • Vercel — Application hosting and content delivery
  • Stripe — Payment processing and subscription management
  • Meta (Instagram/Facebook) — Social media content publishing via OAuth integration (only when activated by the user)
  • TikTok — Social media content publishing via OAuth integration (only when activated by the user)

Rive maintains appropriate data processing agreements with each sub-processor and will update this list as sub-processors are added or changed.

4.7. International Data Transfers

User data may be transferred to and processed in countries outside the user's country of residence. For transfers from the EEA/UK/Switzerland to Canada, Rive relies on the European Commission's adequacy decision recognizing Canada as providing an adequate level of data protection. For transfers to the United States (where certain sub-processors operate), Rive relies on Standard Contractual Clauses (SCCs) approved by the European Commission, or other legally recognized transfer mechanisms as applicable.

4.8. Data Retention

Rive retains user data for as long as the user's account remains active and the service is in use. Upon account cancellation or termination:

  • The user has 30 calendar days to export their data through the service's export functionality
  • After 30 days, Rive will initiate deletion of the user's personal data and operational data
  • Complete deletion (hard delete) will be performed within 90 calendar days of account cancellation, subject to any legal retention obligations
  • Anonymized and aggregated data (which cannot be used to identify any individual or establishment) may be retained indefinitely for statistical analysis and service improvement purposes

4.9. Cookies

Rive uses essential cookies that are strictly necessary for the operation of the service (such as authentication session tokens). Non-essential cookies (such as analytics or marketing cookies) are only placed with the user's explicit consent. For more information, please refer to our Cookie Policy, accessible via the service interface.

5. Limitation of Liability

5.1. As-Is / As-Available

The Rive service is provided "as-is" and "as-available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Rive does not warrant that the service will be error-free, uninterrupted, secure, or free of viruses or other harmful components.

5.2. No Liability for Indirect Damages

To the maximum extent permitted by applicable law, in no event shall Rive, its officers, directors, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages resulting from or related to the use of or inability to use the service, including but not limited to:

  • Lost profits or anticipated revenue, whether direct or indirect
  • Loss of data, including data corruption or inability to access data
  • Service interruption, downtime, or degraded performance
  • Financial losses resulting from inaccurate AI-generated data, analyses, or recommendations
  • Regulatory sanctions, fines, or penalties resulting from reliance on service suggestions
  • Food waste, spoilage, or operational losses related to AI-generated corrective actions or prep list recommendations

5.3. Liability Cap

Rive's total aggregate liability to the user for all claims arising out of or relating to these Terms or the use of the service shall not exceed the total amount of subscription fees actually paid by the user to Rive during the 12 months immediately preceding the event giving rise to the claim. For users on the free tier, Rive's total liability shall not exceed fifty Canadian dollars (CAD $50).

5.4. Force Majeure

Rive shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from events beyond Rive's reasonable control, including but not limited to:

  • Natural disasters, epidemics, pandemics, or acts of God
  • Cyberattacks, including distributed denial-of-service attacks, ransomware, or data breaches affecting Rive's infrastructure or its sub-processors
  • Government actions, regulations, embargoes, sanctions, or court orders
  • Failures, outages, or service degradation by third-party providers, including Anthropic, Supabase, Vercel, and Stripe
  • Power failures, telecommunications failures, or internet service disruptions

5.5. Service Availability

Rive does not guarantee any specific level of uptime or availability unless a separate Service Level Agreement (SLA) has been executed with the user under an Enterprise subscription. Rive will use commercially reasonable efforts to maintain service availability and will endeavour to provide advance notice of planned maintenance windows. Emergency maintenance may be performed without prior notice when necessary to protect the security or integrity of the service.

5.6. Indemnification

The user agrees to indemnify, defend, and hold harmless Rive and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The user's misuse of the Rive service
  • The user's violation of these Terms of Service or any applicable law
  • The user's publication or distribution of AI-generated content without adequate review, including social media posts, public-facing communications, and regulatory documentation
  • Any third-party claims arising from the user's use of the service, including claims related to food safety, intellectual property infringement, defamation, or privacy violations

6. Intellectual Property

6.1. Rive Intellectual Property

The Rive service — including its source code, algorithms, user interface designs, visual elements, branding, documentation, and all related intellectual property — is owned by Rive and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret law. Nothing in these Terms grants the user any right, title, or interest in the Rive service beyond the limited right to use it in accordance with these Terms.

6.2. User Content Rights

The user retains all rights to the content they enter into the service, including but not limited to service notes, menus, recipes, images, financial data, team communications, and all other user-submitted materials.

6.3. AI-Generated Content

Content generated by the AI at the user's request — including social media posts, logbook summaries, corrective action suggestions, translations, prep lists, and analytical reports — is made available to the user for their commercial use without restriction by Rive. Rive does not claim any ownership of AI-generated content produced for the user. However, the user acknowledges that:

  • Rive makes no representation regarding the copyrightability or intellectual property status of AI-generated content under any jurisdiction's laws
  • The user is solely responsible for understanding and addressing the legal implications of using AI-generated content in their jurisdiction, including any requirements for disclosure of AI involvement in content creation

6.4. User Content License

By submitting content to the Rive service, the user grants Rive a limited, non-exclusive, worldwide, royalty-free license to use, process, store, display, and transmit such content solely for the purpose of operating and providing the service. This license includes the right to transmit content to sub-processors (such as Anthropic for AI analysis) as necessary for service operation. This license terminates automatically upon deletion of the content by the user or upon account termination and completion of the data retention period described in Section 4.8.

6.5. Copyright Complaints

If you believe that content available through the Rive service infringes your copyright or other intellectual property rights, please contact us at dock@rivehub.com with the following information:

  • A description of the copyrighted work or intellectual property you claim has been infringed
  • The location within the Rive service where the allegedly infringing material is found
  • Your contact information, including name, address, telephone number, and email address
  • A statement made in good faith that the use of the material is not authorized by the rights holder, its agent, or the law

7. Termination

7.1. The user may cancel their subscription and close their account at any time through their account settings within the Rive dashboard. Cancellation of a paid subscription takes effect at the end of the current billing period, and the user retains access to paid features until that date.

7.2. Upon termination, the user will have 30 calendar days to export their data using the service's built-in export functionality. After this period, data will be processed in accordance with the retention schedule described in Section 4.8.

7.3. Rive reserves the right to suspend or terminate a user's access to the service, with or without notice, in the event of a violation of these Terms, fraudulent activity, abuse of AI features, or any conduct that Rive reasonably determines to be harmful to the service, other users, or third parties. In cases of material violation, suspension may be immediate.

7.4. Refunds

Subscription fees are non-refundable except where required by applicable consumer protection law. Upon cancellation, the user retains access to paid features until the end of the current billing period. No prorated refunds are issued for partial billing periods.

In the event of an extended service failure attributable solely to Rive (defined as continuous unavailability exceeding 72 hours, excluding force majeure events), affected paid subscribers may request a prorated credit or refund for the period of unavailability by contacting dock@rivehub.com.

8. Modifications to these Terms

8.1. Rive reserves the right to modify these Terms of Service at any time. Users will be notified of any material modification by email to their registered address and/or through an in-app notification within the Rive dashboard. The updated Terms will indicate the new effective date and version number.

8.2. Continued use of the service after notification of a modification constitutes acceptance of the updated Terms. If the user does not agree to the modified Terms, they must discontinue use of the service and close their account before the changes take effect.

8.3. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

8.4. Entire Agreement. These Terms of Service, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between the user and Rive with respect to the use of the service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

8.5. Language Precedence. These Terms are available in English and French. In the event of any conflict or inconsistency between the English and French versions, the English version shall prevail.

9. Governing Law and Disputes

9.1. These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

9.2. Informal Resolution. Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation for a minimum period of 30 calendar days. Dispute notifications should be sent to dock@rivehub.com.

9.3. Any dispute that cannot be resolved through informal negotiation shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal. This choice of jurisdiction is subject to any mandatory consumer protection laws of the user's country of residence that cannot be waived by contract, which may entitle the user to bring proceedings in their local courts.

9.4. For users residing in the European Union, you may also seek resolution through the European Commission's Online Dispute Resolution (ODR) platform, accessible at https://ec.europa.eu/consumers/odr. This reference is provided for informational purposes and does not constitute a commitment by Rive to participate in any specific ODR procedure.

10. Subscription and Billing

10.1. Paid subscriptions are available on a monthly or annual recurring basis. The subscription tiers — Free, Essential, Performance, Intelligence, and Enterprise — each provide access to different features and usage quotas as described on the Rive pricing page. Annual subscriptions are billed upfront for the full year at a discounted rate.

10.2. All payment processing is handled by Stripe. Rive does not directly store credit card numbers or sensitive payment credentials. Applicable taxes (including GST, QST, VAT, and other sales or value-added taxes) will be calculated and added to the subscription price based on the user's billing location, in accordance with applicable tax laws.

10.3. Subscriptions automatically renew at the end of each billing period (monthly or annually) unless the user cancels before the renewal date. The user will be charged the then-current subscription rate at each renewal.

10.4. Failed Payments. In the event of a failed payment, Rive will provide a 7-calendar-day grace period during which the user retains full access while payment is retried. If payment cannot be collected after the grace period, the user's account will be suspended (downgraded to free-tier access). User data will be preserved for 30 calendar days following suspension to allow the user to resolve the payment issue or export their data. After 30 days, the account may be subject to the data retention and deletion procedures described in Section 4.8.

10.5. Price Changes. Rive reserves the right to change subscription prices. Any price increase will be communicated to affected users with at least 30 calendar days' prior notice via email. Price changes take effect at the start of the user's next billing period following the notice period. If the user does not agree to the new pricing, they may cancel their subscription before the new price takes effect.
